Board Directors and Governance Practices: a Study of Corporate Governance in Unlisted Companies

| Abstract | The purpose of this study is to investigate the ways in which the board members of unlisted companies have an impact on the processes of corporate governance. Companies that are publicly traded get a great deal of attention when it comes to the corporate governance frameworks and the requirements of board members. The governance structures of unlisted firms, on the other hand, are unique from those of public companies and are subject to a variety of restrictions. This research explores the influence of unlisted company board members on governance policies, decision-making, and overall business performance in order to fill the information gap that has been identified. The boards of directors of unlisted firms have unique challenges and opportunities, such as less pressure from shareholders and less formal reporting duties, as shown by case studies and comparative research. Unlisted companies also have fewer formal reporting obligations. Despite the fact that the governance structures of unlisted firms are more changeable, the findings indicate that the responsibilities of board members in encouraging accountability, transparency, and long-term strategy planning are equally as significant as those in publicly traded companies. In this research, the best strategies that unlisted organizations may employ to strengthen their governance are revealed by comparing and contrasting publicly listed organizations with unlisted organizations. |
